MICHAEL R. PERKINS, J.D., C.P.A., Founding Member

Our founder, Mike Perkins, was born in Dallas, Texas. He holds degrees from The University of Texas School of Law (J.D., December 1987) and Abilene Christian University (B.B.A., 1982). Mike has been licensed as a certified public accountant since 1985 and licensed to practice law in Texas since May 1988.

Areas of Practice
Mike Perkins is an insurance regulatory and corporate lawyer who represents a variety of clients including insurance companies writing all lines of life, accident and health, and property and casualty insurance. Mike serves as legal counsel to the Texas Medical Association Insurance Trust, the Texas Windstorm Insurance Association and the Texas FAIR Plan Association. He also serves as general counsel to Texas Lawyers’ Insurance Exchange and its board of directors. Mike’s clients include insurance agents and agencies, third party administrators, sellers of preneed funeral contracts, premium finance companies, professional employer organizations, trade or professional associations and other business entities that purchase and sell insurance and other types of financial products and services. His areas of representation include general business and regulatory matters, contracts, mergers, acquisitions, reinsurance agreements, licensing filings, compliance issues involving insurance and other regulators and governance matters.

  • Incorporation and licensing of Texas domestic surplus lines company and subsidiary admitted company.
  • Regulatory representation in connection with $100 million infusion of capital into life insurer by minority investor.
  • Negotiated sale of group of insurers, including life company and Texas Lloyds.
  • Merger of Indiana domestic insurer into Texas P&C stock company.
  • Drafted brief for filing with Attorney General’s Office re Texas Open Meetings Act compliance issues.
  • Filed disclaimer of control with respect to Texas-domestic title underwriter.
  • Dissolution of mortgage insurance company.
  • Renegotiated administrator and MGA contracts between trucking insurer and general agency.
  • Represented foreign insurance holding company in the negotiation and purchase of a Texas domestic personal lines insurer, the related Form A approval process and the formation and licensing of an MGA to manage the new business.
  • Represented purchaser in the acquisition of a Texas domestic homeowners insurer and affiliated managing agency including related Form A and agency change of control filings and approvals.
  • Represented alien pension fund purchaser in the Form A approval of its acquisition of a Texas life insurer.
  • Regularly monitor and advise clients regarding pending legislation and assist with drafting proposed legislation.
  • Advise clients at regularly scheduled quarterly board meetings.
  • Routine Form B, C and affiliated transaction Form D filings.
  • Dissolution of captive life insurer.
  • Advised client regarding disposition of group annuity proceeds.
  • Served as lead counsel in negotiation of $500,000,000 syndicated line of credit issued to property catastrophe insurer by two leading money center banks.
  • Formed Texas domestic life insurer through the UCAA primary application process to issue annuities to fund structured settlements.
  • Formed title underwriter to be domiciled in Texas.
  • Redomesticated Colorado P&C insurer to Texas to continue operation of warranty contractual liability program nationwide and to commence operation of non-standard private passenger automobile insurance program in Texas.
  • Guided California vendor’s single interest and collateral protection insurer through Office of Consumer Credit Commissioner audit of its client in the automobile financing business.
  • Negotiated affinity marketing arrangement between large national PEO and the nation’s largest independent insurance brokerage.
  • Lead counsel in renewing $40,000,000 bridge loan agreement related to reinsurance cash-flow funding needs for homeowners carrier.
  • Filed Form A acquisition statements and secured approvals for several foreign and alien purchasers of Texas-domestic insurers.
  • Negotiated the sale of client’s Texas-domiciled insurance company subsidiary to investor group.
  • Obtained regulatory approval for business plan changes caused by sale of captive insurer’s parent operating in the dental services sector.
  • Defended investigation and threat of disciplinary action related to administrator and affiliated transaction rules and statutes.
  • Negotiated sale via assumption and indemnity reinsurance of life company’s business and handled subsequent dissolution of the insurer.
  • Revised long-time client’s specimen form of producer agreement to modernize and improve the document for use in the current business and regulatory environment.
  • Advised residual market insurer regarding assessment appeal and related dispute.
  • Attends all board and committee meetings and advises the boards of two entities subject to the Texas Open Meetings Act and the Texas Public Information Act.
  • Represented Purchaser in Form A approval of acquisition of a group of insurers with multi-line commercial and residential programs and with multiple-state domiciled insurer subsidiaries.
  • Assisted with client’s $400,000,000 catastrophe bond placement.
  • Participated in property/casualty client’s long-range planning board meeting and retreat.
  • Advised agency client on establishment of a private health insurance exchange.
  • Advised client in establishment of internal audit function.
  • Reinsurance and dissolution of closely held life insurance company.
  • Assisted client with transactional and regulatory aspects of issuance of $500,000,000 in public securities through Texas Public Finance Authority.
  • Helped startup online personal lines insurance agency with regulatory compliance issues.
  • Negotiated recapture of life business for ceding company client from distressed reinsurer under control of regulator.
  • Represented purchaser in Form A approval of acquisition of a life insurer that involved redomestication issues.
  • Reinsurance and dissolution of captive workers’ compensation insurer.
  • Represented health insurer client in employee disciplinary matter involving Texas Board of Nursing.
  • Obtained approval to release reserves associated with mortgage guaranty reinsurance transactions.
  • Orientation presentation to client’s board regarding fiduciary duties of directors and regulatory law.
  • Worked with tax counsel and accountants to assist insurer client with successful refund claims from state Comptroller and IRS totaling over $60,000,000.
  • Managed litigation and settlement of disability claim disputes and related E&O insurance claims.
  • Filings with Insurance Department recording changes of control of agencies and administrators.
